Actually I'm surprised Theres no knowledge Base article on it, but the simplest way (at least this is how I do it) is to take a theme such as fisubice and download it to your machine, then use an app to change ALL instances of fisubice in all files to the name of theme you want to create. Then rename your folder to that same thing you just replaced and upload it.
Then grab your newtheme.css and start editing. Thats the simplest way. I'm not entirley sure it's the most efficient way, but it seems to do ok for me. Unfortunatly, if your looking to alter tables and such (thats why I do it the way I do.. I'm never happy simply changing colors) your looking at altering dozens of .tpl files
